Terms of Service

These Terms of Service (“Terms”) govern access to and use of www.emersonarchetype.com (the “Site”), purchases from Emerson Archetype, and certain related transactions and services.
Emerson Archetype is a business operated by Lucas Emerson in Harbor City, California. In these Terms, “Emerson Archetype,” “we,” “us,” and “our” refer to the business operated under the Emerson Archetype name.
By using the Site, placing an order, participating in a purchase opportunity drawing, commissioning custom work, or otherwise entering into a transaction governed by these Terms, you agree to the applicable provisions of these Terms.
Where you are presented with an acceptance mechanism at checkout or elsewhere, selecting or clicking the applicable acceptance control constitutes your agreement to these Terms and the policies incorporated into them.
If you do not agree to these Terms, do not place an order or participate in a transaction governed by them.
1. Eligibility to Purchase
You must be at least 18 years old to purchase any product directly from Emerson Archetype.
By placing an order or making an in-person purchase, you represent that:
You are at least 18 years old;
You have legal capacity to enter into the transaction;
The information you provide is accurate; and
You are legally permitted to purchase, receive, possess, and use the product being purchased.
Emerson Archetype may refuse or cancel a transaction where age, legal eligibility, fraud, or other legitimate concerns exist.
2. Knife Purchases and Legal Compliance
Emerson Archetype currently produces conventional manual folding knives and related cutting tools.
Knife laws vary substantially by jurisdiction.
By purchasing a knife from Emerson Archetype, you acknowledge that you are responsible for determining whether the product may lawfully be purchased, received, possessed, transported, carried, or used in your jurisdiction.
Emerson Archetype does not represent or warrant that a particular knife is legal in every state, county, city, municipality, or other jurisdiction.
We reserve the right to refuse, restrict, or cancel shipment to any jurisdiction or address where we determine that fulfillment may violate applicable law or create a legal or compliance concern.
Information provided by Emerson Archetype concerning knife laws, ownership, or carry restrictions is general information only and should not be treated as legal advice.
3. Intended Use of Knives
Emerson Archetype knives are designed and sold as cutting tools.
They are not designed, represented, or marketed as self-defense products.
Knives are inherently sharp and must be handled responsibly. Improper handling or use can cause serious injury or property damage.
Products should be used only for lawful purposes and in a manner reasonably consistent with their intended function.
Misuse includes, without limitation:
Prying;
Throwing;
Using the knife as an impact tool;
Using the knife beyond reasonable cutting applications;
Unsafe handling;
Improper maintenance;
Unlawful use; or
Use in a manner inconsistent with the design of the product.
The purchaser and user are responsible for safe, lawful, and appropriate use.
4. Products and Handmade Characteristics
Many Emerson Archetype products are handmade, individually fitted, hand-finished, serialized, or produced using natural materials.
Reasonable variation is part of that process.
Photographs, measurements, weights, colors, materials, specifications, and other product information are provided as accurately as reasonably possible. Minor variation may occur due to:
Hand finishing;
Natural material variation;
Manufacturing tolerances;
Individual fitting;
Patina or surface treatment;
Lighting and photography;
Display and screen differences; or
Other characteristics inherent to handmade work.
Unless expressly stated otherwise, reasonable dimensions, weights, and similar specifications should be understood as approximate.
A material specifically agreed upon for a commissioned product will not be substituted without the customer's approval.
5. Product Availability
Products may be produced in extremely limited quantities.
Except when the Site expressly displays an active cart reservation, adding an item to a cart does not reserve that product.
Where the Site provides a timed cart reservation, the product may be reserved for the period displayed by the Site, currently generally 15 minutes.
Expiration of the reservation may release the product for purchase by another customer.
A cart reservation does not prevent Emerson Archetype from canceling a transaction where cancellation is otherwise permitted under these Terms.
6. Orders
Submitting an order does not prevent Emerson Archetype from canceling or correcting the transaction before fulfillment where a legitimate issue exists.
We may cancel or refuse an order because of circumstances including:
An inventory error;
An obvious pricing or listing error;
Payment failure;
Suspected fraud;
Suspected unlawful activity;
Circumvention of purchase limits;
Use of false identities or multiple accounts;
Automated purchasing or bot activity;
Abusive conduct;
Shipping restrictions;
Legal or regulatory concerns; or
A technical or fulfillment error.
If we cancel a paid order that we are unable or unwilling to fulfill, amounts collected for the canceled portion of the order will be refunded as appropriate.
7. Purchase Limits
Certain products or releases may be subject to limits such as one item per customer, person, household, address, payment method, or other reasonable restriction.
When a purchase limit applies, attempting to circumvent it through multiple accounts, identities, addresses, payment methods, automated systems, or similar means may result in cancellation.
Emerson Archetype may reasonably determine whether multiple orders appear to be an attempt to evade an announced purchase limit.
Ordinary lawful resale of an authentic Emerson Archetype product after purchase is not prohibited by these Terms.
8. Pricing and Taxes
Unless otherwise stated, prices are listed in United States dollars.
Applicable taxes and charges may be added where required by law.
Prices and product availability may change prospectively without notice.
Emerson Archetype reserves the right to correct obvious typographical, technical, or pricing errors. If an error materially affects an order that has already been placed, we may contact the customer, cancel and refund the affected transaction, or otherwise resolve the error appropriately.
9. Payment
Website orders must generally be paid in full through the payment methods made available at checkout unless separate written terms apply.
In-person purchases at shows or events may be accepted in cash or through any other payment method expressly made available by Emerson Archetype at that event.
A commissioned or made-to-order project may be subject to deposits, progress payments, final balances, or other payment terms established separately.
10. Chargebacks and Payment Disputes
Customers are encouraged to contact Emerson Archetype promptly if a legitimate billing, fulfillment, damage, or order issue occurs.
A chargeback should not be used fraudulently or as a substitute for complying with applicable return, cancellation, or payment obligations.
Emerson Archetype may contest a chargeback that we reasonably believe is inaccurate, fraudulent, or improper and may provide relevant transaction records, communications, order information, shipping records, delivery information, and other evidence to the payment provider or financial institution reviewing the dispute.
Fraudulent or abusive payment activity may result in refusal of future transactions.
Nothing in this section limits a customer's lawful rights through a payment provider or financial institution.
11. Purchase Opportunity Drawings
Emerson Archetype may periodically conduct free drawings that are sometimes informally referred to as “lotteries.”
These drawings provide selected participants with an opportunity to purchase a knife. They do not award the knife itself as a prize.
No fee or purchase is required to enter unless expressly stated otherwise in a legally compliant promotion.
Online Drawings
Online drawings generally concern a specified knife or purchase opportunity.
Eligible participants are selected at random according to the procedure announced for the drawing.
Selection gives the participant the opportunity to purchase the applicable knife within the payment period communicated by Emerson Archetype.
In-Person Drawings
For certain in-person drawings, a selected participant may be permitted to choose a knife from the eligible inventory then available.
Availability is not guaranteed until the selection and purchase are completed.
General Drawing Rules
Unless expressly stated otherwise:
Entry is free;
Selection does not transfer ownership of a knife;
Selection creates only a limited opportunity to purchase;
The opportunity is personal to the selected participant and may not be transferred;
The selected participant must complete payment within the stated period;
Failure to complete payment causes the purchase opportunity to expire; and
A knife not purchased by the selected participant remains the property of Emerson Archetype and may be retained, offered, or sold at a later time.
Emerson Archetype may establish additional rules for a particular drawing. Those specific rules control where they conflict with this section.
12. Custom Commissions and Made-to-Order Work
Custom commissions and made-to-order products may be governed by separate written specifications, quotes, invoices, correspondence, or commission terms.
Where separate terms apply, those specific terms control over these general Terms with respect to the commission.
Deposits
Unless expressly stated otherwise before payment, deposits for accepted commissioned work are non-refundable, except where a refund is required by applicable law or where Emerson Archetype determines otherwise.
Design Approval and Changes
Once a design, specification, or direction has been approved and work has begun, Emerson Archetype may reject requested changes.
If a requested change is accepted, additional charges, material costs, or additional completion time may apply.
Completion Estimates
Any quoted completion date or production timeframe for handmade or commissioned work is a good-faith estimate only, unless Emerson Archetype expressly agrees in writing to a guaranteed deadline.
Custom work may be affected by material availability, equipment issues, production requirements, illness, unforeseen technical problems, or other circumstances.
A delay beyond an estimated completion date does not, by itself, create a right to cancel a custom order or obtain a refund of a non-refundable deposit.
Abandoned Commissions
If a commissioned piece is completed and the customer fails to pay an outstanding balance, fails to provide required information, or stops responding, Emerson Archetype may provide written notice requesting that the customer complete the transaction.
If the customer does not cure the issue within 30 days after that notice, Emerson Archetype may, to the extent permitted by law:
Cancel the commission;
Retain an applicable non-refundable deposit;
Recover or retain amounts reasonably attributable to work, materials, or other obligations;
Release the product from any hold for that customer; and
Retain, modify, offer, or sell the product elsewhere.
Any amounts that cannot legally be retained will be handled in accordance with applicable law.
13. Shipping
Emerson Archetype currently ships within the United States only.
We may refuse shipment to particular jurisdictions, addresses, forwarding services, PO boxes, territories, or other destinations where legal, security, carrier, or fulfillment concerns exist.
Shipping Addresses
Customers are responsible for providing a complete and accurate shipping address.
If an order is returned because the customer supplied an incorrect, incomplete, or undeliverable address, the customer may be responsible for additional shipping costs required to send the order again.
This does not apply where the addressing error was caused by Emerson Archetype.
Delivery Estimates
Shipping and delivery dates are estimates unless expressly guaranteed.
Emerson Archetype is not responsible for delays caused by carriers, weather, transportation disruptions, government action, or other circumstances outside our reasonable control.
Signature Requirements
Emerson Archetype may require signature confirmation, adult signature, or another delivery control for high-value or otherwise sensitive shipments.
The customer is responsible for making reasonable arrangements to receive a shipment where a signature is required.
Packages Marked Delivered
A carrier's delivery scan does not automatically guarantee a refund or replacement if a customer later reports that the package cannot be located.
Customers should promptly contact Emerson Archetype and, where appropriate, the carrier.
Reported loss after delivery will be evaluated based on the available tracking information, delivery records, circumstances, carrier procedures, and applicable law.
Replacement or refund is not automatic.
14. Returns and Exchanges
Returns, exchanges, final-sale products, damaged shipments, and related matters are governed by the Emerson Archetype Return & Exchange Policy, which is incorporated into these Terms by reference.
Where the Return & Exchange Policy provides more specific terms concerning a return or exchange, that policy controls.
A product sent to Emerson Archetype for maintenance, sharpening, adjustment, inspection, repair, or other service is not considered a merchandise return.
15. Service, Repairs, and Product Conditions
Emerson Archetype handles repair, adjustment, maintenance, sharpening, and claimed defect issues on a case-by-case basis.
Except where a specific written warranty is expressly provided with a product, Emerson Archetype does not maintain a separate general written warranty program.
Nothing in these Terms is intended to waive, disclaim, reduce, or replace any implied warranty, statutory warranty, or other consumer right that applicable law does not permit to be waived.
If a knife or other product is submitted for inspection, Emerson Archetype may evaluate whether the condition appears attributable to:
Materials;
Workmanship;
Normal wear;
Misuse;
Improper maintenance;
Improper sharpening;
Corrosion or neglect;
Disassembly;
Modification;
Third-party work;
Accident; or
Another cause.
Where Emerson Archetype determines that a condition appears attributable to a defect in materials or workmanship, we may provide an appropriate repair, adjustment, replacement, or other accommodation after inspection.
Such accommodations are handled according to the circumstances of the individual product and do not establish a general lifetime or transferable warranty program.
For ordinary maintenance, sharpening, adjustment, customer-caused repair, or other non-defect service, the customer may be responsible for shipping and any service charges quoted before work is performed.
Where Emerson Archetype accepts responsibility for an apparent materials or workmanship issue, we may cover reasonable service and return-shipping costs as appropriate.
16. Modification and Third-Party Work
Modification of an Emerson Archetype product may affect our ability to inspect, service, or repair it.
This includes, without limitation:
Regrinding;
Drilling;
Machining;
Lock modification;
Heat treatment;
Refinishing;
Anodizing;
Structural modification;
Installation of incompatible aftermarket parts; or
Work performed by another maker or service provider.
Emerson Archetype may decline service relating to a modified component, condition caused by modification, or product whose alteration prevents reliable inspection or repair.
Modification does not eliminate any right that applicable law makes non-waivable.
17. Returns of Products Sent for Service
Do not send a knife or other product to Emerson Archetype for service without first contacting us.
Service instructions may include specific packaging, shipping, identification, or other requirements.
Customers are responsible for complying with applicable carrier rules and law when shipping knives.
Emerson Archetype is not responsible for unauthorized items sent to an address without prior service arrangements except to the extent responsibility is imposed by applicable law.
18. Intellectual Property
The Site and its original content include materials owned by or licensed to Emerson Archetype.
These materials may include:
The Emerson Archetype name;
Logos and symbols;
Knife designs;
Product designs;
Photographs;
Videos;
Drawings;
Graphics;
Illustrations;
Written copy;
Product names;
CAD or design materials;
Technical drawings;
Website layouts; and
Other creative or proprietary materials.
Nothing in these Terms transfers ownership of those materials to the user.
You may access the Site and share ordinary links to publicly available pages for personal, non-commercial purposes.
Unless Emerson Archetype gives prior written permission, you may not:
Reproduce Site materials for commercial use;
Republish substantial Site content;
Sell or license Site materials;
Remove ownership or attribution information;
Scrape or systematically collect proprietary content;
Use Emerson Archetype content to create counterfeit products;
Use photographs, drawings, dimensions, CAD information, or other Site materials to reproduce an Emerson Archetype product; or
Use those materials to manufacture, commission, assist in manufacturing, or commercially exploit copies or derivative products.
Written permission from Emerson Archetype may authorize uses that would otherwise be prohibited.
19. User-Submitted Content
The Site may allow customers to submit reviews, photographs, comments, or other content.
You retain ownership of content you submit.
When you knowingly submit content through a Site feature intended for publication, you grant Emerson Archetype a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, resize, and use that content as reasonably necessary to operate, promote, and display Emerson Archetype and its products.
You represent that you have the right to submit the content and that its use as described above will not violate another person's rights.
You may not knowingly submit content that is:
Unlawful;
Fraudulent;
Defamatory;
Infringing;
Malicious;
Abusive;
Misleading; or
Intended to interfere with the Site.
Emerson Archetype may remove or decline to publish submitted content.
Private communications, direct messages, emails, photographs, or testimonials sent outside a Site feature intended for publication are not automatically licensed for promotional use merely because they were sent to Emerson Archetype. We may separately request permission before using such material publicly.
20. Prohibited Site Use
You may not use the Site:
For unlawful purposes;
To commit or facilitate fraud;
To interfere with Site operation;
To attempt unauthorized access to systems or accounts;
To distribute malware or malicious code;
To scrape or harvest information in violation of applicable law or these Terms;
To impersonate another person;
To evade purchase limits;
To interfere with another customer's ability to purchase;
To use bots or automated systems to gain an unfair purchasing advantage; or
To infringe Emerson Archetype's or another party's rights.
21. Third-Party Services and Links
The Site may use or link to services operated by third parties, including payment processors, shipping providers, social platforms, analytics services, event websites, and other external services.
Third-party services operate under their own terms, policies, and practices.
Emerson Archetype does not control and is not responsible for the independent operation, availability, security, policies, or content of third-party services.
Use of a third-party service may be subject to additional terms between you and that provider.
22. Site Availability and Changes
We may modify, suspend, restrict, or discontinue all or part of the Site at any time.
We do not guarantee that:
The Site will always be available;
Every product will remain available;
Archived information will remain online;
A particular feature will continue to exist; or
The Site will always be free from temporary errors or interruptions.
Reasonable efforts may be made to maintain accurate and functional services, but uninterrupted operation is not guaranteed.
23. Informational Content
Descriptions, articles, FAQs, specifications, care information, and other content on the Site are provided for general informational purposes.
Although we attempt to provide accurate information, Site content should not be treated as legal, medical, professional, or other regulated advice.
In particular, information about knife laws does not replace the customer's responsibility to determine the law applicable to their own jurisdiction and circumstances.
24. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EMERSON ARCHETYPE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF THE SITE, A TRANSACTION, OR A PRODUCT, WHERE SUCH DAMAGES MAY LAWFULLY BE LIMITED OR EXCLUDED.
This may include, where legally permissible, losses arising from:
Site interruptions;
Missed purchasing opportunities;
Lost data;
Carrier delays;
Business interruption;
Lost profits; or
Other indirect economic losses.
For claims arising solely from the Site or a commercial transaction and not involving personal injury, fraud, willful misconduct, violation of law, or another form of liability that cannot legally be limited, Emerson Archetype's aggregate liability will not exceed the amount paid to Emerson Archetype for the product or transaction giving rise to the claim.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHERE SUCH AN EXCLUSION OR LIMITATION IS PROHIBITED BY LAW.
Nothing in this section is intended to eliminate legally protected rights relating to defective consumer goods, personal injury, fraud, willful misconduct, statutory consumer protection, or any other liability that cannot lawfully be waived or limited.
25. Responsibility for Misuse
To the extent permitted by law, Emerson Archetype is not responsible for loss, damage, or injury caused by a user's:
Unlawful conduct;
Intentional misuse;
Use outside the product's intended function;
Improper modification;
Improper maintenance;
Unsafe handling; or
Failure to follow reasonable safety practices.
This provision does not excuse Emerson Archetype from responsibility that applicable law imposes on a manufacturer or seller and does not waive rights that cannot lawfully be waived.
26. Indemnification
To the extent permitted by applicable law, you agree to defend and indemnify Emerson Archetype from third-party claims, damages, liabilities, and reasonable costs arising directly from:
Your unlawful use of the Site or a product;
Your intentional violation of these Terms;
Content you submit that infringes another person's rights; or
Your intentional misuse of Emerson Archetype intellectual property.
This obligation does not apply to the extent a claim results from Emerson Archetype's own negligence, wrongful conduct, product defect, or other responsibility that cannot lawfully be transferred to you.
27. Informal Dispute Resolution
Most concerns can be resolved directly.
Before filing a lawsuit arising from a transaction governed by these Terms, you and Emerson Archetype agree, where legally permissible, to make a reasonable good-faith effort to resolve the dispute informally.
A customer may begin that process by contacting:
The notice should reasonably describe the transaction, the issue, and the requested resolution.
The parties should ordinarily allow up to 30 days for good-faith discussion before commencing litigation.
This section does not:
Prevent either party from seeking urgent or emergency relief;
Extend or shorten an applicable statute of limitations;
Prevent use of small-claims procedures where available; or
Restrict any consumer right that cannot lawfully be restricted.
28. Governing Law and Venue
These Terms and transactions governed by them are governed by the laws of the State of California, without regard to conflict-of-law principles, except where another jurisdiction's law must apply as a matter of law.
To the extent legally permitted, disputes arising from these Terms or a transaction with Emerson Archetype will be brought in an appropriate state or federal court located in Los Angeles County, California.
This venue provision does not override any consumer venue right or other right that applicable law makes non-waivable.
29. No Mandatory Arbitration
Unless Emerson Archetype and the customer separately agree in writing after a dispute arises, these Terms do not require mandatory binding arbitration.
Nothing in these Terms prevents the parties from voluntarily agreeing to mediation or arbitration later if both sides believe it would assist in resolving a particular dispute.
30. Force Majeure and Events Outside Reasonable Control
Emerson Archetype is not responsible for delay or failure in performance caused by circumstances outside its reasonable control to the extent permitted by law.
Such circumstances may include:
Carrier disruption;
Severe weather;
Natural disaster;
Fire;
Power or utility interruption;
Equipment failure;
Material shortage;
Supplier disruption;
Government action;
Labor disruption;
Widespread network or service outage; or
Other comparable events.
This provision does not excuse obligations that applicable law requires to be performed despite such circumstances.
31. Changes to These Terms
Emerson Archetype may revise these Terms from time to time.
When changes are made, the “Last Updated” date will be revised.
Changes apply prospectively from the effective date of the revised Terms unless applicable law permits or requires otherwise.
A later revision will not automatically rewrite the material terms of a completed transaction retroactively.
32. Additional and Transaction-Specific Terms
A specific product, commission, drawing, promotion, service arrangement, event, or other transaction may have additional written terms.
Where those specific terms conflict with these general Terms, the more specific terms will control for that transaction.
The Return & Exchange Policy and Privacy Policy are also incorporated into these Terms where applicable.
33. Severability
If a provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed where necessary.
The remaining provisions will remain in effect to the extent permitted by law.
34. No Waiver
A failure by Emerson Archetype to enforce a provision on one occasion does not permanently waive the right to enforce that provision later.
Any waiver must be clear and apply only to the circumstances for which it was given.
35. Entire Agreement
These Terms, together with any applicable transaction-specific terms and incorporated policies, constitute the agreement governing the applicable transaction or use of the Site.
Specific written commission terms, product terms, drawing rules, service agreements, or other transaction-specific terms take priority where they expressly conflict with these Terms.
